Terms of Service for veritra.io

These Terms of Service (hereinafter the "Terms") govern the relationship between the provider and users of the services operated on the veritra.io domain. The services are intended exclusively for businesses (B2B).

1. Contracting parties

Provider:

User is a business (a natural-person entrepreneur or a legal entity) who registers for any service on veritra.io and thereby accepts these Terms. A company ID number (IČO) is required at registration; registration without IČO is not possible. By registering, the user explicitly confirms that they are acting within their business activity and not as a consumer in the sense of § 419 of Act No. 89/2012 Coll. The consumer-protection provisions of the Czech Civil Code (§ 1810 et seq.) do not apply to this contractual relationship.

During registration the user must explicitly tick acceptance of these Terms and the Privacy Policy (GDPR). The provider stores proof of consent (timestamp and IP address) in its database.

2. Subject of services

The provider operates SaaS services in the area of public procurement monitoring, public contract pricing data, and automation of related processes. The current list of available services, their functionality, availability, and limits is published at https://veritra.io/pricing. The provider may evolve the service portfolio, add new services, or discontinue existing ones.

Some services may at any given time be labelled as beta. Beta services are provided "as is", in a limited operational state; their availability and data completeness may vary and the provider gives no guarantees for them.

The contract is concluded by completion of registration in the dashboard and acceptance of these Terms.

Marketing communications about the service on the website, in emails, on social media, and in documentation are informational. In case of any conflict between marketing communications and these Terms, the Terms prevail.

3. Price, billing, and trial period

The current price list for all services is available at https://veritra.io/pricing. All prices are in Czech Crowns (CZK); the provider is not a VAT payer, prices are final.

Every new registration receives a free trial period with full access to all paid services. The trial duration is stated in the price list.

The provider sends the user an email reminder at least 3 days before the trial ends. If the user activates a paid subscription after the trial, the subscription renews automatically according to the chosen billing cycle. If the user does not activate, access to paid services is restricted to free features.

The contract is for an indefinite period. The subscription renews automatically according to the selected billing cycle (monthly or yearly) unless the user cancels.

The user may cancel at any time in the dashboard (Billing section). The service remains active until the end of the paid period; the provider does not refund the unused portion unless agreed otherwise.

Data export after termination. Upon request after termination, the provider will make user data available for export (filters, missing-tender reports history, billing history) in a machine-readable format (JSON or CSV) for 30 days. After this period, user data may be permanently deleted, except for data the provider is required to retain by law (in particular accounting and tax records).

The provider may suspend or terminate the user's account without undue delay in case of:

Indemnification. If a third party asserts any claim against the provider arising from the user's breach of these Terms (in particular from incorrect or unauthorized use of data obtained through the service), the user shall fully indemnify the provider, including reasonable legal costs.

6. Missing tender reports

If the user identifies a public tender that falls within their active filters but was not captured by the watcher, they may report it via the "Report missing tender" form in the dashboard.

The provider verifies the report within 5 days. Upon confirmation of a missed tender, the provider extends the user's active service by 1 month free.

7. Limitation of liability, service availability

The services are provided "as is". The provider commits to reasonable efforts to ensure availability, quality, and data freshness, but does not guarantee 100% coverage of public tenders, does not provide a service-level agreement (SLA), and does not guarantee user success in any bidding procedure.

Delivery of email digests and webhook notifications is on a best-effort basis with retries. The provider does not guarantee delivery within any specific time and the user must arrange a fallback mechanism (polling the REST API) for time-critical applications.

The provider is not liable for:

Force majeure. The provider is not liable for non-performance due to force majeure circumstances, in particular widespread internet outages, large-scale cyberattacks, outages of key infrastructure providers, armed conflicts, natural disasters, government measures, or pandemics.

The provider's total aggregate liability for one calendar year shall not exceed the amount the user paid in that same year. This limitation does not apply in case of intentional breach or gross negligence by the provider.

8. Personal data processing

Personal data processing is governed by a separate Privacy Policy (GDPR) available at https://veritra.io/gdpr. The GDPR document lists all processors (subprocessors) the provider may pass personal data to (in particular Resend, Stripe, Vercel, Cloudflare, Upstash, DigitalOcean, Anthropic, AWS SES).

By registering, the user acknowledges that certain personal data (email, company ID, company name, billing details, IP address) are necessary for contract performance within the meaning of Article 6(1)(b) GDPR.

9. Communication, complaints, and dispute resolution

All communication primarily takes place via email at michal@veritra.io. The provider responds without undue delay, typically on business days.

Notifications from the provider to the user are delivered by email to the last stored email address. The user is required to keep this address current; notifications are deemed delivered when sent to that address.

Complaints may be submitted:

Any dispute shall first be attempted to be resolved amicably. If no agreement is reached, the dispute shall be settled by the materially and locally competent court in the Czech Republic according to the provider's registered office.

10. Final provisions

These Terms are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll. (Civil Code). Consumer relations (§ 419 of the Civil Code) are excluded — the services are provided exclusively to businesses.

Terms changes. The provider reserves the right to amend these Terms. The current version is always published at https://veritra.io/vop. Terms changes with material impact on users will be announced 30 days in advance by email to the user's last stored contact address; the provider keeps a record of this notification in its database. The user may terminate the contract during this period; continued use after the changes take effect constitutes acceptance.

Severability. If any provision of these Terms is found to be invalid, ineffective, or unenforceable, the remaining provisions remain in effect. The invalid provision shall be replaced by a provision that most closely matches the original intent of the parties.

Assignment. The user may not assign rights and obligations from this contract to a third party without the provider's prior written consent. The provider may assign the contract to a legal successor in case of reorganization or business sale.
